Takeovers and Mergers:
FTS is incorporated in Israel and its head office and place of central management is in Israel. Accordingly, transactions in the Ordinary Shares are not subject to the provisions of the UK City Code on Takeovers and Mergers (the “City Code”). Details of the anti-takeover provisions pursuant to the Israeli Act which applies to the Company are set out in paragraph 5 of Part IV of this document. The restrictions applicable to takeovers under the Israeli Act could prevent or make more difficult an acquisition of the share capital of the Company, which could have a material adverse effect on its share price.
